Agreement

This Membership Agreement ("Agreement") constitutes a legally binding agreement between you ("Member," "you," or "your") and BTWNBROS ("we," "us," or "our"). By creating an account, accessing the BTWNBROS platform, or otherwise using any services provided by BTWNBROS, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement in their entirety. If you do not agree to any provision of this Agreement, you shall not access or use the BTWNBROS platform.

Parties and Acceptance

This Agreement is entered into between BTWNBROS and the individual agreeing to these terms ("Member," "you," or "your"). By creating an account, completing the verification process, or accessing any portion of the BTWNBROS platform, you represent and warrant that you have the legal capacity and authority to enter into this Agreement and that you shall comply with all terms contained herein.

Your continued use of the BTWNBROS platform following the posting of any amendments or modifications to this Agreement shall constitute your acceptance of such changes. BTWNBROS shall provide reasonable notice of material changes to this Agreement through the platform or via the email address associated with your account.

Representations and Warranties

By entering into this Agreement, you represent and warrant that:

(a) You are at least eighteen (18) years of age and meet the minimum age requirement in your jurisdiction to access adult-oriented content and services;

(b) You possess the full legal capacity and authority to enter into this Agreement and to perform the obligations set forth herein;

(c) All information you provide to BTWNBROS during registration, verification, and ongoing use of the platform is accurate, complete, and current, and you shall promptly update such information as necessary to maintain its accuracy;

(d) You shall not create more than one (1) account, nor shall you create an account on behalf of any other individual;

(e) You have not previously been terminated, suspended, or permanently banned from the BTWNBROS platform;

(f) Your use of the BTWNBROS platform shall comply with all applicable federal, state, and local laws, regulations, and ordinances; and

(g) You understand and acknowledge that BTWNBROS is an adult-oriented platform and that you shall encounter content intended exclusively for adult audiences.

Membership Benefits and Services

BTWNBROS shall provide members with access to a private members club and its digital platform including, but not limited to, the following features and services: member profile creation and management; private one-on-one messaging; community discovery and connection tools; the HO-FACTS peer accountability rating system; Burn After Read self-destructing messages; content sharing between verified members; advanced privacy controls including visibility settings and blocking tools; discreet billing with member-selected statement descriptors; and access to premium membership tiers offering expanded features and enhanced club benefits.

All members shall receive age verification processing, community safety protections, and dedicated support access through hello@btwnbros.com. BTWNBROS reserves the right to modify, suspend, or discontinue any feature or service at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

Member Confidentiality and Non-Disclosure

5.1 Confidential Information. As a condition of membership, each Member acknowledges and agrees that all information encountered through the BTWNBROS platform regarding other members constitutes confidential information ("Confidential Information"). Confidential Information includes, without limitation: member identity and membership status; profile content, photographs, and media; messages, communications, and correspondence; activity, usage patterns, and behavioral data; and any other personally identifying information, whether disclosed directly, indirectly, or incidentally.

5.2 Non-Disclosure Obligations. Members shall not disclose, share, publish, distribute, transmit, or otherwise communicate any Confidential Information to any third party, including but not limited to spouses, domestic partners, family members, employers, colleagues, law enforcement (except as required by law), media outlets, social media platforms, or the general public. This obligation shall survive during the term of membership and in perpetuity following termination or expiration of membership.

5.3 Reasonable Expectation of Privacy. Members acknowledge that other members have a reasonable expectation of privacy and discretion, and that unauthorized disclosure of another member's Confidential Information: (a) constitutes a material breach of this Agreement; (b) may cause irreparable harm to the affected member for which monetary damages may be inadequate; and (c) shall result in the immediate and permanent termination of the disclosing member's account without refund.

5.4 Equitable Relief. In the event of any breach or threatened breach of this Section 05, BTWNBROS and/or the affected member shall be entitled to seek injunctive relief, specific performance, or other equitable remedies in addition to any other remedies available at law or in equity, without the necessity of proving actual damages or posting a bond.

Platform Confidentiality Commitment

BTWNBROS is committed to the privacy and discretion of every member. As part of this commitment, BTWNBROS shall adhere to the following obligations:

BTWNBROS shall never confirm, deny, or disclose the membership status, identity, profile content, activity, or any other personally identifying information of any member to any third party, including but not limited to spouses, domestic partners, family members, employers, government agencies, or the general public, except under the following narrowly defined circumstances:

(a) In response to a valid and lawful court order, subpoena, warrant, or other legally binding legal process that has been reviewed and verified by legal counsel;

(b) When required to report suspected child sexual abuse material to the National Center for Missing and Exploited Children pursuant to 18 U.S.C. Section 2258A;

(c) When reasonably necessary to prevent imminent and serious harm to a member or third party, as determined in good faith by BTWNBROS; or

(d) With the express, prior written consent of the member whose information is at issue.

BTWNBROS shall not respond to informal requests for member information from spouses, domestic partners, private investigators, or any other third party acting outside of a formal legal process. Receipt of a valid legal process shall be evaluated by qualified legal counsel before any response is provided, and BTWNBROS shall, to the extent permitted by law, notify the affected member prior to any disclosure.

Intellectual Property

7.1 Ownership. BTWNBROS and its licensors retain all right, title, and interest in and to the BTWNBROS platform, including but not limited to all software, code, algorithms, designs, text, graphics, logos, trademarks, service marks, trade names, domain names, and other intellectual property (collectively, "BTWNBROS IP"). Nothing in this Agreement shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any BTWNBROS IP without the prior express written consent of BTWNBROS.

7.2 Limited License. Subject to your compliance with this Agreement, BTWNBROS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the BTWNBROS platform solely for your personal, non-commercial use. This license shall automatically terminate upon the termination or expiration of your membership.

7.3 Restrictions. You shall not: (a) copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the BTWNBROS platform; (b) use any automated system, including bots, scrapers, or crawlers, to access or interact with the platform; (c) use the BTWNBROS name, logo, or trademarks without prior written authorization; (d) frame, mirror, or otherwise incorporate any portion of the platform into any other product or service; or (e) remove, alter, or obscure any proprietary notices or labels on the platform.

7.4 Member Content. You retain ownership of the content you submit to the BTWNBROS platform ("Member Content"). By submitting Member Content, you grant BTWNBROS a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content solely as necessary to operate and provide the platform services. This license shall terminate upon the deletion of the applicable content or the termination of your account, except to the extent such content has been shared with other members or is required for legitimate business purposes.

Membership Dues and Billing

Membership is offered on a recurring dues basis. All membership dues are non-refundable except as expressly provided in this Agreement or as required by applicable law. Members may cancel their membership at any time through their account settings. Cancellations shall take effect at the end of the current billing period, and the member shall retain access until that date.

Memberships terminated for violations of this Agreement or the Terms of Service shall not be eligible for refunds under any circumstances. BTWNBROS offers discreet billing: members may select the descriptor that appears on their payment statement. For billing inquiries, contact hello@btwnbros.com.

BTWNBROS reserves the right to modify membership dues upon thirty (30) days' prior written notice. Continued use of the club following a dues change shall constitute acceptance of the new pricing.

Dispute Resolution

9.1 Informal Resolution. Prior to initiating any formal dispute resolution proceedings, the parties shall first attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement or the BTWNBROS platform through good-faith informal negotiation. The aggrieved party shall provide written notice of the dispute to the other party, and the parties shall have thirty (30) days from the date of such notice to reach a mutually acceptable resolution.

9.2 Mediation. If the dispute is not resolved through informal negotiation within the thirty (30) day period, the dispute shall be submitted to mediation administered by a mutually agreed-upon mediator. Mediation shall be conducted within sixty (60) days of the submission of the dispute.

9.3 Binding Arbitration. If mediation does not resolve the dispute, the dispute shall be submitted to final and binding arbitration under the rules of the American Arbitration Association. The arbitrator's decision shall be final, legally binding, and enforceable in any court of competent jurisdiction. The arbitration shall be conducted on an individual basis; class arbitrations and class actions are not permitted.

9.4 Class Action Waiver. Both parties waive any right to bring disputes as a class action, collective action, or representative action, and waive any right to participate in any such action brought by a third party. This waiver shall survive the termination of this Agreement.

9.5 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws provisions.

Indemnification

You shall indemnify, defend, and hold harmless BTWNBROS, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the BTWNBROS platform; (b) your violation of any term of this Agreement; (c) your violation of any applicable law, regulation, or third-party right; (d) any content you submit, post, or transmit through the platform; or (e) your breach of the confidentiality obligations set forth in Section 05.

This indemnification obligation shall survive the termination or expiration of this Agreement and your membership. For additional indemnification provisions, refer to the BTWNBROS Terms of Service.

Termination

11.1 Termination by BTWNBROS. BTWNBROS reserves the right to suspend or terminate any membership at any time, with or without cause, and with or without notice, for violations of this Agreement, the Terms of Service, or any applicable law. Members found to have violated the confidentiality obligations set forth in Section 05 shall be permanently banned without refund.

11.2 Termination by Member. Members may terminate their own membership at any time through their account settings. Upon termination, the member's profile shall be deactivated and their data shall be handled in accordance with the BTWNBROS Privacy Policy.

11.3 Survival. The following sections shall survive any termination or expiration of this Agreement: Section 05 (Member Confidentiality and Non-Disclosure), Section 07 (Intellectual Property), Section 09 (Dispute Resolution), Section 10 (Indemnification), and any other provisions that by their nature are intended to survive termination.

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such invalidity, illegality, or unenforceability shall not affect any other provision of this Agreement. The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.

Amendments

BTWNBROS reserves the right to amend, modify, or update this Agreement at any time in its sole discretion. Any amendments shall be effective upon posting the revised Agreement to the BTWNBROS platform, unless a longer notice period is required by applicable law. BTWNBROS shall provide notice of material amendments through the platform interface, via email to the address associated with your account, or both.

Your continued use of the BTWNBROS platform following the effective date of any amendment shall constitute your acceptance of such amendment. If you do not agree to any amended terms, your sole and exclusive remedy shall be to terminate your membership in accordance with Section 11.2 of this Agreement.

Entire Agreement

This Agreement, together with the BTWNBROS Terms of Service, Privacy Policy, Child Safety Policy, and any other policies or guidelines referenced herein or published on the BTWNBROS platform, constitutes the entire agreement between you and BTWNBROS with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, understandings, and agreements, whether written or oral, between the parties regarding such subject matter.

In the event of any conflict or inconsistency between this Agreement and the Terms of Service, the Terms of Service shall control. In the event of any conflict between this Agreement and the Privacy Policy with respect to data handling practices, the Privacy Policy shall control.

No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition. The failure of BTWNBROS to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
